Terms and Conditions

These Terms and Conditions ("Terms") form the agreement between EBONGEST Solutions ("we", "us") and the business signing up ("you", "the Client"). By ticking "I agree to the Terms and Conditions" when you sign up, you accept these Terms.

1. Our Services

We provide AI customer service agents for businesses. Depending on your plan this includes an AI chat agent, a customer chat link, a QR code, a web voice call button or voice agent, weekly performance reports and a client portal. The "Free Website + AI Agent" plan also includes a professional website built and hosted by us, as set out in section 6.

2. Free Trial

Every plan starts with a 3-day free trial. No card is needed to begin the trial. If you do not subscribe by the end of the trial, your agent may be deactivated. Subscribing during the trial ends the trial and starts billing immediately.

3. Pricing and Payment

• UK and Global clients are billed in British Pounds (GBP) through Stripe. Nigerian clients are billed in Naira (NGN) through Paystack.
• Plans are billed monthly in advance. Current prices are shown on our website and at sign up.
• We may change prices with at least 30 days' written notice. Changes apply from your next billing period.
• Domain names are not included in any plan. See section 6.

4. Non-Refundable Policy

All payments are non-refundable. This includes monthly payments, annual payments and any website export fee. If you cancel, your agent remains active until the end of your current billing period and is then deactivated. We do not provide part-period, pro-rata or goodwill refunds.

5. Cancellation

• You can cancel at any time from your client portal, or by emailing hello@ebongestsolutions.com.
• Cancellation stops future billing. Your service stays active until the end of the billing period you have already paid for.
• After cancellation your AI agent, chat link, QR code, voice features and portal access are deactivated.
• The Free Website + AI Agent plan has a minimum term. See section 6.
• We may suspend or end your service if you break these Terms, use the service unlawfully, or abuse the platform.

6. Free Website + AI Agent Plan

What "free" means. We do not charge a separate fee to design and build your website while you are subscribed. The cost of the build and its hosting and maintenance is covered by your monthly subscription.

Minimum commitment. If you cancel or stop paying before the end of the first 6 months, the website is taken offline as described above, and the monthly payments for the rest of the 6-month minimum term remain payable.

Website ownership.

• You own the content you give us, such as your business name, logo, text, photos and other materials, and you keep your brand and trademarks.
• We own the website design, code, templates and the systems used to build and host it. While you are subscribed, you have a licence to use the website for your business.
• You do not own the website files unless you buy the export in this section. On payment of the export fee we give you a copy of the website files for your own use. This does not include our AI agent, widget or platform software, which stay ours and run only while you are subscribed.

Domain names. Domain name not included — purchase your own domain from any provider and we will connect it to your website for free. You own and are responsible for renewing your own domain.

Maintenance. We maintain the website free of charge while you are subscribed. Large redesigns or new features beyond ordinary maintenance may be quoted separately.

7. Your Responsibilities

• Give us accurate information about your business, and keep it up to date.
• Make sure the content you give us does not infringe anyone's rights or break the law.
• Keep your portal PIN and login details confidential.
• Use the service lawfully, and tell your own customers where required that they are talking to an AI agent.

8. Data Handling and Privacy

• What we collect: your business and contact details, the information you give us to set up your agent, and the conversations, enquiries and call transcripts your agent handles for your customers.
• How we use it: to run and improve your agent and portal, to send your reports and service emails, to process payments and to meet legal obligations. We do not sell your data.
• Who processes it: we use trusted service providers to run the platform, including payment processors (Stripe, Paystack), email, hosting, database and AI and voice providers. They may only use data to provide their service to us.
• Payments: card details are handled by Stripe or Paystack. We do not store full card numbers.
• Your customers' data: you are the controller of your customers' personal data and we act as your processor. You are responsible for having a lawful basis to collect it.
• Retention and deletion: we keep data while your account is active and for a reasonable period afterwards for legal, accounting and dispute purposes. You can ask us to delete or export your data by emailing hello@ebongestsolutions.com, subject to legal retention duties.
• Your rights: depending on where you are (for example under UK GDPR or the Nigeria Data Protection Act), you may have rights to access, correct, delete or restrict the use of your personal data.
• Security: we use reasonable technical and organisational measures to protect data, but no online service is completely secure.

9. AI Output

Our agents use artificial intelligence and can occasionally give incomplete or incorrect answers. You are responsible for reviewing your agent's setup and for how you rely on its output. It is not professional legal, medical or financial advice.

10. Availability and Liability

We aim to keep the service available, but we do not promise uninterrupted or error-free operation. To the fullest extent permitted by law, we are not liable for indirect or consequential loss, lost profits or lost business, and our total liability for any claim is limited to the fees you paid us in the 3 months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

11. Changes to These Terms

We may update these Terms. We will give you notice of material changes by email or through your portal. Continuing to use the service after the change means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, unless local consumer or data protection law says otherwise.
